Important: These Terms apply to your use of the Core51 website and Core51 mobile applications (the “Service”). If you do not agree, do not use the Service.

Documents & policies

1. Beta / experimental service

Core51 is currently provided as a beta. Features may change, may be discontinued, and may contain defects. You acknowledge that the Service is experimental and may be unavailable at times.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You represent that you are legally able to enter into these Terms.

3. Accounts and security

You are responsible for safeguarding your account credentials and devices. Notify us immediately if you suspect unauthorized access. You are responsible for all activity under your account to the extent permitted by law.

4. End‑to‑end encryption and data loss

Core51 is designed to use end‑to‑end encryption. As a result, we may be unable to recover message contents if you lose keys/devices. You are responsible for backups and key management where applicable.

5. Acceptable use

You agree not to misuse the Service. This includes: (a) attempting to gain unauthorized access, (b) interfering with or overloading the Service, (c) distributing malware, (d) violating applicable laws, (e) infringing intellectual property, (f) harassing or threatening others, (g) using the Service for spam or fraudulent activity.

6. Auditability; “proof of a deal”

Core51 is designed for long‑term continuity of business communication. The Service may provide integrity and auditability features intended to support proof of a deal (for example, message integrity records and export tools). You understand that no technical system can guarantee outcomes in every scenario (e.g., compromised devices, user error, third‑party failures, or legal requirements).

7. User content

You are responsible for the content you send or store using the Service. We do not claim ownership over your content. You grant us a limited license to host, process, transmit, and display content solely to operate and improve the Service.

8. Safety, moderation, and enforcement

We may remove content, restrict features, or suspend/terminate accounts if we believe (in good faith) that such action is necessary to protect users, comply with law, or enforce these Terms. We may also cooperate with lawful requests.

9. Account deactivation; retention of chat records

You may be able to deactivate your account. Deactivation generally disables login and reduces profile visibility, but does not necessarily delete chat records.

Because Core51 is designed for continuity and dispute resolution in business communications, chat records (including encrypted content and metadata) may remain stored and accessible to other participants, and may be retained by Core51 to support integrity, security, audits, and dispute resolution, to the maximum extent permitted by law.

10. Third‑party services

The Service may rely on third‑party providers (hosting, email delivery, object storage, payment processors). Third‑party terms may apply. We are not responsible for third‑party services outside our control.

11. Fees, subscriptions, and taxes

If paid plans are offered, prices, renewal terms, and billing rules will be presented at purchase. Taxes may apply. Additional refund details are described in our Refund Policy.

12. Intellectual property

Core51 and related trademarks, logos, and software are owned by Core51 or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted by law or by written agreement.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee uninterrupted or error‑free operation.

14. Limitation of liability

To the maximum extent permitted by law, Core51, Inc. and its directors, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or business interruption.

Where liability cannot be excluded, Core51’s total liability for all claims relating to the Service will be limited to the greater of (a) amounts paid by you to Core51 for the Service in the 3 months prior to the event giving rise to the claim, or (b) USD $50.

15. Indemnification

You agree to defend, indemnify, and hold harmless Core51, Inc. from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law, to the extent permitted by law.

16. Termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms or if it is necessary to protect the Service, users, or comply with law.

17. Dispute resolution; arbitration

To the maximum extent permitted by law, disputes will be resolved by binding arbitration on an individual basis, and not in a class or representative action. If arbitration is not permitted in your jurisdiction, disputes will be resolved in the courts specified below.

18. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of law rules, to the extent permitted by law.

19. Changes

We may update these Terms from time to time. Continued use of the Service after an update means you accept the updated Terms.

20. Privacy

Our Privacy Policy explains how we process personal data, including retention related to deactivation.
